Common use of DAC6 Clause in Contracts

DAC6. Each Obligor shall supply to the Facility Agent (in sufficient copies for all the Lenders if the Facility Agent so requests): (a) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Documents or any transaction carried out in connection therewith contains a hallmark as set out in Annex IV of DAC6 or could or does give rise to any mandatory disclosure requirement in the United Kingdom; and (b) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to any governmental or taxation authority by or on behalf of any Obligor or by any intermediary to such Obligor in relation to DAC6 or any law or regulation which implements DAC6 (including any mandatory disclosure regime in the United Kingdom) and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).

DAC6. Each Obligor Following the reasonable request of the Administrative Agent (acting at the direction of the Required Lenders), the Company shall supply to the Facility Administrative Agent (in sufficient copies for all the Lenders if the Facility Administrative Agent so requests): ): (ai) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Loan Documents or any transaction carried out (or to be carried out) in connection therewith with any transaction contemplated by the Loan Documents contains a hallmark as set out in Annex IV of DAC6 or could or does give rise to any mandatory disclosure requirement in the United Kingdom; and and (bii) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to by any governmental or taxation authority by or on behalf of the Company or any Obligor of its Subsidiaries or by any intermediary adviser to such Obligor Person in relation to DAC6 or any law or regulation which implements DAC6 (including any mandatory disclosure regime in the United Kingdom) and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).
