DAMAGES FOR BREACH OF CONTRACT. In the event of a breach of this Agreement by either Bank or the Executive resulting in damages to another party to this Agreement, that party may recover from the party breaching the Agreement only those damages as set forth herein. In no event shall any party be entitled to the recovery of attorney's fees or costs, except as provided in the last sentence of this Paragraph 13. Notwithstanding the above, the attorney's fees and costs incurred by Executive in connection with the enforcement of his rights under this Agreement after a Change in Control shall be paid by the Bank, or its successor, as the case may be, unless Executive is judicially determined to have acted in bad faith.
