Damages for Failure to Protect the Property. Neither party shall have any rights against the other for damages or other remedy by reason of failure to prosecute, or the settlement of, any alleged infringements by others of the Property; provided, however, that neither party shall enter into a settlement of any alleged infringements by others of the Property which in any way may adversely affect the Property, the License, the Licensor's rights in the Property or the Licensee's rights granted under the License.

  • Damages for Breach of Contract In the event of a breach of this Agreement by either the Corporation, Bank or the Executive resulting in damages to another party to this Agreement, that party may recover from the party breaching the Agreement only those damages as set forth herein. In no event shall any party be entitled to the recovery of attorney's fees or costs.

  • Waiver of Breach; Specific Performance The waiver of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any other breach. Except as set forth on SCHEDULE 4.7, no consent, approval or authorization of, or declaration or filing with, any governmental authority, stockholder of Seller or other person is required on the part of Seller in connection with the execution, delivery or performance of this Agreement or the consummation by it of the transactions contemplated hereby.
