Data Protection Waiver. Participant understands and agrees that in order to process and administer the Award and the Plan, the Company and the Administrator may process personal data and/or sensitive personal information concerning the Participant. Such data and information includes, but is not limited to, the information provided in the Award grant package and any changes thereto, other appropriate personal and financial data about Participant, and information about Participant’s participation in the Plan and transactions under the Plan from time to time. Participant hereby gives his or her explicit consent to the Company and the Administrator to process any such personal data and/or sensitive personal information. Participant also hereby gives his or her explicit consent to the Company and the Administrator to transfer any such personal data and/or sensitive personal data outside the country in which Participant works, is employed or provides services and to the United States. The legal persons granted access to such Participant personal data are intended to include the Company, the Administrator, the outside plan administrator as selected by the Company from time to time, and any other compensation consultant or person that the Company or the Administrator may deem appropriate for the administration of the Plan or the Award. Participant has been informed of his or her right of access and correction to Participant’s personal data by contacting the Company. Participant also understands that the transfer of the information outlined herein is important to the administration of the Award and the Plan and failure to consent to the transmission of such information may limit or prohibit Participant’s participation under the Plan and/or void the Award.

The Recipient understands and consent to the Company or its agents or independent contractors appointed to administer the Plan obtaining certain of the Recipient’s personal employment information required for the effective administration of the Plan and that such information may be transmitted outside of the country of the Recipient’s employment and/or residence.

Gxxxxxx understands and consents to EDS or its agents or independent contractors appointed to administer the Plan obtaining and processing personal information of Gxxxxxx's relevant to the effective administration of the Plan and also consents that such personal information may be transmitted outside of the country of Gxxxxxx's employment and/or residence as appropriate for EDS business purposes in the administration of the Plan.

This Agreement has been delivered to Grantee and is being accepted and will be effective only upon execution by the signature of the Grantee and timely delivery to EDS. GRANTEE: Jxxxxxx X. Xxxxxx Date This Restricted Stock Unit Agreement (herein called the "Agreement") is made and entered into effective as of March 20, 2003 (the "Date of Grant"), by and between Electronic Data Systems Corporation, a Delaware corporation ("EDS" or the "Company") and Jxxxxxx X. Xxxxxx ("Grantee"). Except as defined herein, capitalized terms shall have the same meaning ascribed to them under the 2002 Transition Inducement Plan of Electronic Data Systems Corporation, as from time to time amended (the "Plan"). To the extent that any provision of this Agreement conflicts with the express terms of the Plan, it is hereby acknowledged and agreed that the terms of the Plan shall control and, if necessary, the applicable provisions of this Agreement shall be hereby deemed amended so as to carry out the purpose and intent of the Plan.

The Customer acknowledges and consents to the Company and AWS, as the Administrator, processing their personal and sensitive data to deliver the benefits of this exclusive Agreement. Such data includes, but is not limited to, information in the Cloud package, any updates, relevant personal and financial details, as well as records of the Customer's involvement in and transactions related to the agreement. The Customer explicitly allows the Company and the Administrator to process and transfer this data outside of their working or service providing country, and to any other region as required by law. Access to this data may be granted to an affiliate, the Administrator, any external plan administrator selected by the Company, and any other consultant, partner or individual deemed appropriate for the agreement. The Customer has been made aware of their rights to access and amend their data by contacting the Company. It is understood by the Customer that this data transfer is crucial to the agreement and the exclusive engagement, and refusal to consent may affect or restrict their benefits.

Information relating to the Optionee’s participation under the Plan may constitute personal data that is subject to the Company’s policies on protection and use of personal data.
