Date and Place of Completion. Completion shall take place on the Completion Date at the offices of the Seller’s Solicitors.
Date and Place of Completion. 4.1.1 Completion shall take place on the Completion Date at the offices of Xxxxx & Co LLP at Xxx Xx Xxxxxxx Xxxxxxxx, 000 Xxxxxxxxxxx, Xxxxxx XX0X 0XX (or at any other place as may be agreed in writing by the Seller and the Buyer).

Completion shall take place at the offices of Xxxxxxx & Xxxxxxx in Hong Kong on the 4th Business Day after both this Agreement and the Subscription Agreement cease to be subject to any Conditions (as defined in the relevant agreement), other than those Conditions which will be satisfied on Completion, or any other place or time as agreed between the parties.

(a) this Agreement;
(b) the Share Agreements;
(c) the Escrow Agreement
(d) the Vernalis Novation Agreement; and
(e) the CTI/Vernalis Licence.
4.1.2 Title in the Transferred Assets shall pass to CTI upon Completion.
4.1.3 CTI shall issue the Chroma Shares to Chroma upon Completion.
4.1.4 Upon Completion, CTI shall deliver to the Escrow Agent a stock certificate representing the Escrow Shares to be held by the Escrow Agent in a separate escrow account and disbursed by the Escrow Agent in accordance with the Escrow Agreement and this Agreement.
4.1.5 On Completion the Parties shall have the obligations set out in relation to each of them in Schedule 5.
Date and Place of Completion. Completion shall take place at the offices of the Vendor immediately following satisfaction of the Conditions and release of the Sum to the Vendor pursuant to clause 5.2 by both parties of this Agreement. In the event that any of the requirements of clause 6.2 and 6.3 shall not have been satisfied (or waived by the party not in default thereof) on or before 30 September 2004 this Agreement shall immediately terminate. Each party shall use all reasonable endeavours to procure the satisfaction of its obligations under clauses 6.2 or 6.3 as soon as is reasonably practicable.

Subject to Clause 4, Completion shall take place at the offices of the Vendor's Solicitors on 10 February 1998 or, if earlier, the date referred to in the date of notification by the Purchaser to the Vendor pursuant to Clause 4.3 of the satisfaction of the conditions set out in Clause 4.1 being no earlier than the third Business Day following the date of such notification or at such other place, time or date being before 10 February 1998 as may be agreed between the Purchaser and the Vendor.
