DATE OF TERMINATION OF LEGAL EXISTENCE OF COMPANY. The Certificate of Cancellation shall be filed upon completion of the distribution of the Company’s assets as provided herein. The Manager (or such other person(s) as the Act may require or permit) shall file the Certificate of Cancellation with the appropriate office of the State of Delaware, cancel any other filings made pursuant to Article I, and take such other actions as may be necessary and appropriate to terminate the existence of the Company.

  • Effect of Termination or Reduction Any termination or reduction of the Commitments of a Class shall be permanent. Each reduction of the Commitments of a Class shall be made ratably among the Lenders of such Class in accordance with their respective Commitments.
