Common use of Day-to-Day Decision-Making Authority Clause in Contracts

Day-to-Day Decision-Making Authority. Each Party shall have decision making authority with respect to the day-to-day activities of such Party (and such Party’s employees, agents and contractors) in connection with the Development, Manufacture and Commercialization of the Licensed Products in the Field in accordance with this Agreement, provided that such decisions are not inconsistent with the Development Plan, the terms and conditions of this Agreement, or the decisions of the appropriate Committee, as applicable.

Day-to-Day Decision-Making Authority. Each Party (itself or through a designee) shall have decision making authority with respect to the day-to-day activities operations of such Party (and such Party’s employees, agents and contractors) in connection with the Preclinical Development, Manufacture Development, Manufacturing and Commercialization of the Licensed Products in the Field in accordance with this Agreementthe Territory for which it is responsible under the Plans, provided that such decisions are not inconsistent with such Plans or the Development Plan, the express terms and conditions of this Agreement, or Agreement (including the decisions allocation of the appropriate Committee, operation responsibility for various activities as applicableset forth herein).
