Death and Disability Exceptions. The restrictions set forth in ------------------------------- Sections 2.1 and 2.2 shall terminate immediately with respect to any Restricted Shareholder upon such Restricted Shareholder's death or Disability. For purposes of this Section 2.3, "Disability" shall mean with respect to any Restricted Shareholder, such Restricted Shareholder's inability, despite whatever accommodations are provided, to render services to the Company or the Surviving Corporation for more than one hundred eighty (180) consecutive days because of physical or mental disability, incapacity or illness.
