DEATH, INCAPACITY ETC. Subject to Sections 11.1(a), 11.1(b) and 11.1(c), the estate of a Limited Partner who is a natural person shall have the right to Transfer, upon the death, incompetency, bankruptcy, withdrawal or incapacity of such Limited Partner, his or her interest in the Partnership.

DEATH, INCAPACITY ETC. Subject to Sections 11.1(a10.1(a), 11.1(b10.1(b) and 11.1(c10.1(c), the estate or legal representative of a Limited Partner who is a natural person shall have the right to TransferTransfer to a family member or to an estate planning entity, upon the death, incompetencyincapacity, bankruptcy, withdrawal incompetency or incapacity bankruptcy of such Limited Partner, his or her such Limited Partner's interest in the Partnership.
