Common use of Death or Disability of the Executive Clause in Contracts

Death or Disability of the Executive. This Agreement and the Executive’s employment shall terminate immediately upon the death of the Executive. In addition, this Agreement and Executive’s employment may be terminated by the Company effective upon delivery of written notice to the Executive in the event of the Executive’s Disability. For purposes of this Agreement, the term “Disability” shall mean the Executive’s inability to perform his duties hereunder as Vice President and Chief Financial Officer of the Company, as reasonably determined by the Board, as a result of prolonged absence from work for health reasons or physical or mental disability, illness or incapacity for a continuous period of ninety (90) days, or for shorter periods aggregating four (4) months in any twelve (12) month period. In any circumstance involving a termination of this Agreement and of the Executive’s employment pursuant to this Section 5(c):
