Death or Disability; Termination without Cause; Resignation for Constructive Termination. If Executive’s employment with the Company and its Subsidiaries is terminated (w) by the Company or any of its Subsidiaries as a result of the Disability of Executive, (x) due to the death of Executive, (y) by the Company without Cause or (z) by Executive as a result of a Constructive Termination, the purchase price per Unit will be the Fair Market Value thereof (measured as of the Valuation Date);
