Debt Issuance and Preferred Equity Issuance. Upon any Debt Issuance or Equity Issuance of Equity Interests (other than common Equity Interests of Holdings) after the Closing Date, Borrowers shall make prepayments in accordance with Section 2.10(g) in an aggregate principal amount equal to 100% of the Net Cash Proceeds of such Debt Issuance or Equity Issuance.
