Common use of Debtor Remains Liable Clause in Contracts

Debtor Remains Liable. Notwithstanding anything to the contrary contained in this Agreement: (a) Debtor shall remain liable under the contracts and agreements included in the Collateral and obligated to perform all duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Lender of any of its rights hereunder shall not release Debtor from any duties or obligations under the contracts and agreements included in the Collateral, and (c) Lender shall have no obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall Lender be obligated to perform any of the obligations or duties of either Debtor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Notwithstanding anything to the contrary contained in this Agreement: If any Collateral consists of contracts or agreements, (a) the Debtor shall remain liable under such contracts or agreements to the contracts and agreements included in the Collateral and obligated extent set forth therein to perform all of the Debtor's duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Lender the Collateral Agent or any Bank of any of its rights hereunder under this Agreement shall not release the Debtor from any of the Debtor's duties under any such contracts or obligations under the contracts and agreements included in the Collateralagreements, and (c) Lender the Collateral Agent or any Bank shall not have no any obligation or liability under the such contracts and or agreements included in the Collateral by reason of this Agreement, nor shall Lender the Collateral Agent or any Bank be obligated to perform any of the obligations or duties of either the Debtor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.
