Common use of Debtor’s Duties Clause in Contracts

Debtor’s Duties. It is expressly agreed, anything herein contained to the contrary notwithstanding, that each Debtor shall remain liable to perform all of the obligations, if any, assumed by it with respect to the Collateral and the Agent shall not have any obligations or liabilities with respect to any Collateral other than an obligation to act in a commercially reasonable manner, by reason of or arising out of this Agreement, nor shall the Agent be required or obligated in any manner to perform or fulfill any of the obligations of any Debtor under or with respect to any Collateral.

Debtor’s Duties. It is expressly agreed, anything herein contained to the contrary notwithstanding, that each Debtor the Debtors shall remain liable to perform all of the obligations, if any, assumed by it with respect to the Collateral and the Agent Purchasers shall not have any obligations or liabilities with respect to any Collateral other than an obligation to act in a commercially reasonable manner, by reason of or arising out of this Agreement, nor shall the Agent Purchasers be required or obligated in any manner to perform or fulfill any of the obligations of any Debtor the Debtors under or with respect to any Collateral.
