Decision-Making and Issue Resolution. All decisions of or actions taken by the Steering Committee shall be by unanimous approval of all the members of the Steering Committee or such subcommittee, and voting on any matters shall be reflected in the minutes of the meeting at which the vote was taken. If the Steering Committee fails to reach unanimous agreement on an issue or matter needing resolution, the matter shall be referred for good faith discussion and resolution by the appropriate senior executive officer of each Party.
