Decision Making Process. While the Board of Education has the final authority to determine the staffing structures of the District, the Board values a decision-making process which involves all appropriate stakeholders and places the decision at the appropriate level within the organization. The decision-making structure, if possible, will be implemented at the level affected by the change. If a potential reduction is contemplated due to building level factors, every attempt will be made to keep decision-making at the building level. Decision-making structures should involve the collecting and sharing of information to ensure high-quality decision-making.
Decision Making Process. If partners cannot come to a mutual agreement, the lead agency will have final decision-making authority. Hiring and firing of the appropriate staff will be the responsibility of the agency for which they are employed. The 21st CCLC Coordinator should assist partners in interviewing and hiring staff that will be working in the 21st CCLC program through their respective agencies. In addition, the 21st CCLC Coordinator should provide input into the performance evaluation of all partner agency staff working with the 21st CCLC program.
Decision Making Process. Each Party, acting through its representatives to the JRC, shall have one vote on the JRC. Any decision of the JRC shall require the affirmative vote of both Parties, through their representatives to the JRC. Any dispute at the JRC shall be referred to the Chief Scientific Officer of Infinity and the Head of Oncology Research of Novartis for good faith resolution. In the event that the dispute is not resolved, Novartis shall have the deciding vote. No such decisions shall obligate Infinity to spend money or devote resources outside those previously agreed to in the mutually-agreed Research Plan, in no event may the JRC or Novartis amend the terms of this Agreement or override Infinity’s rights specified in Sections 2.4.5(b) or 12.3 and in no event may Novartis unilaterally (a) determine that a Licensed Compound shall be recategorized into a Profile as set forth in Section 2.4.6, (b) change the criteria for the Profiles without compelling and convincing data that indicates that the criteria are unlikely to result in clinical differentiation (provided, however, that if there is a dispute over whether such data is compelling and convincing, Novartis shall have the deciding vote), or (c) determine that it has fulfilled any obligations hereunder or that Infinity has breached any obligations hereunder.
Decision Making Process. Each member of the Advisory Committee shall have one vote, and decisions by the Advisory Committee shall be made by a majority vote. Any disagreement among members of the Advisory Committee shall be resolved within the Advisory Committee based on the efficient achievement of the objectives of this Agreement. Any disagreement which cannot be resolved by a majority vote of the Advisory Committee shall be referred to the President of each of Genetronics and Ethicon for resolution. It is the intent of the parties to resolve issues through the Advisory Committee whenever possible and to refer issues to the President
Decision Making Process. Each member of the RMC shall have one vote, and decisions by the RMC shall be made by a majority vote. Any disagreement among members of the RMC will be resolved within the RMC based on the efficient achievement of the objectives of this Agreement. Any disagreement which cannot be resolved by a majority vote of the RMC shall be referred to the appropriate officers of SIGNAL and DPM for resolution under Article 12. It is the intent of the parties to resolve issues through the RMC whenever possible and to refer issues to the officers of SIGNAL and DPM only when resolution through the RMC cannot be achieved.
Decision Making Process. (a) A candidate’s application for tenure or promotion is considered in the following stages of deliberation by:
i) First, the candidate’s Tenure and Promotion – Faculty Committee (TPF), which will make a recommendation to the Tenure and Promotion – University Committee (TPU);
ii) Second, the Tenure and Promotion – University Committee (TPU), which will make a recommendation to the President of the University; and
iii) Third, the President of the University considers the recommendation of both the TPF and TPU, making a final decision on behalf of the Board of Governors and reports that decision to the Board of Governors.
(b) For negative recommendations at the following stages in the process:
i) TPF: A final recommendation of the TPF is not appealable.
ii) TPU: The candidate can appeal a negative recommendation of the TPU to the University Review Appeals Committee (URAC). The URAC reviews the appeal and makes a recommendation to the President.
Decision Making Process. The Oversight Committees shall make decisions, make recommendations, and take actions on issues arising under this Agreement by majority vote. Any Dispute may be resolved pursuant with Section 9.4 and Appendix D (Arbitration).
Decision Making Process. The Technology Committee shall make decisions, make recommendations, and take actions on issues arising under this Agreement by majority vote. Any “Dispute” in the Technology Committee shall be referred to the relevant Oversight Committee.
Decision Making Process. The Joint Committee shall make all decisions through consensus. Five of the seven Joint Committee members shall constitute a quorum for purposes of meeting and conducting business. The deliberations of the Joint Committee shall be closed and confidential.
