Decisions and Determinations of the Board. Neither Xx. Xxxxxxxxxx nor any of his affiliates shall participate in any decision by the Board, or any Board committee, which affects any of his rights or obligations under this Agreement. Except as otherwise expressly provided in this Agreement, all actions of the Board provided for in this Agreement, including but not limited to determinations, consents and approvals, shall be in the Board’s sole and uncontrolled discretion.
