Decisions without Clause Samples

The "Decisions without" clause defines the circumstances under which decisions can be made without the usual requirements, such as without a meeting, notice, or unanimous consent. In practice, this clause might allow a board or group to take action through written consent or electronic communication, bypassing formal in-person meetings. Its core function is to streamline decision-making processes, enabling faster and more flexible responses when convening all parties is impractical or unnecessary.
Decisions without a meeting Except as otherwise established in the Articles of Incorporation or these By-laws, all decisions that can be made or are allowed to be made can so be made in any meeting of the Board or any of its committees without a meeting in case all members of the Board or its committees sign a written consent, as the case may be, and such written consent is filed with the minutes of procedures of the board or committee.
