Decrease in Purchase Price. If the Purchase Price Adjustment reflects a net decrease in the Purchase Price in excess of One Hundred Thousand Dollars ($100,000), the Company shall pay to UOP by bank wire transfer in immediately available Federal funds to an account designated in writing by UOP the sum of: (i) the Purchase Price Adjustment; and (ii) interest on the Purchase Price Adjustment computed at a rate compounded per annum equal to the prime commercial lending rate of Morgxx Xxxranty Trust Company of New York in effect on the Closing Date from the Closing Date to the date of settlement.

Decrease in Purchase Price. In the event that Estimated Working Capital is less than Target Working Capital (the "WORKING CAPITAL SHORTFALL"), at Closing the ZAI*NET Cash Amount shall be reduced by the result of multiplying (i) the amount by which Target Working Capital exceeds Estimated Working Capital by (ii) 0.71.
