Deductible for Title Defects. Notwithstanding the provisions set forth above, a Title Defect shall not result in an adjustment to the Base Purchase Price unless the aggregate value of all Title Defects agreed to by the Parties is greater than three percent (3%) of the Base Purchase Price (the “Deductible Amount”). In such event, the Base Purchase Price on the Closing shall be adjusted by the aggregate value of all Title Defects which exceed the Deductible Amount.
