Common use of Deemed Change of Control Clause in Contracts

Deemed Change of Control. If the Executive's employment with the Employer is terminated prior to the date on which a Change of Control occurs, and such termination was at the request of a third party who has taken steps to effect a Change of Control or was otherwise caused by the Change of Control, then for all purposes of this Agreement, a Change of Control shall be deemed to have occurred prior to such termination.

Deemed Change of Control. If the Executive's employment with the Employer is terminated prior to before the date on which a Change of Control occurs, and such termination was at the request of a third party who has taken steps to effect a Change of Control or the termination was otherwise caused by the Change of Control, then for all purposes of this Agreement, a Change of Control shall be deemed to have occurred prior to before such termination.
