Common use of Deemed Consent under Articles Clause in Contracts

Deemed Consent under Articles. Each of the Parties (i) consents to the issuance of Shares by the Corporation made in accordance with this Addendum, and (ii) agrees that this consent satisfies any restriction on the transfer or issuance of the Shares contained in the Articles or By-laws and that no further consent is required under the Articles or By-laws for any such issuance.

Deemed Consent under Articles.
