Common use of Deemed Resignations Clause in Contracts

Deemed Resignations. Unless otherwise agreed to in writing by Parent or the Company and Executive prior to the termination of Executive’s employment, any termination of Executive’s employment shall constitute (a) an automatic resignation of Executive as an officer of the Company and each other member of the Company Group (as applicable) and (b) an automatic resignation of Executive from the board of directors or similar governing body of any member of the Company Group, and from the board of directors or similar governing body of any corporation, limited liability entity or other entity in which any member of the Company Group holds an equity interest and with respect to which board or similar governing body Executive serves as any member of the Company Group’s designee or other representative.

Deemed Resignations. Unless otherwise agreed to in writing by Parent or the Company and Executive prior to the termination of Executive’s employment, any termination of Executive’s employment shall constitute constitute: (ai) an automatic resignation of Executive as an officer of the Company and each other member Affiliate of the Company Group (Company, as applicable) , and (bii) an automatic resignation of Executive from the Board (if applicable), from the board of directors or similar governing body of any member Affiliate of the Company Group(if applicable), and from the board of directors or any similar governing body of any corporation, limited liability entity or other entity in which any member of the Company Group or any Affiliate holds an equity interest and with respect to which board or similar governing body Executive serves as any member of the Company GroupCompany’s or such Affiliate’s designee or other representativerepresentative (if applicable).

Executive agrees to execute such documents and take such other actions as the Company may request to reflect such resignation.

In addition, Executive agrees to resign, effective as of the date of conclusion of his employment for an reason, from his membership on the Board (as if applicable) ), and (b) an automatic resignation of Executive from the board of directors or similar governing body of any member affiliate of the Company GroupCompany, and from the board of directors or similar governing body of any corporation, limited liability entity company, or other entity in which any member of the Company Group or any affiliate holds an equity interest and with respect to which board or similar governing body Executive serves as any member of the Company GroupCompany’s or such affiliate’s designee or other representative.

Unless otherwise agreed to in writing by the Company or Parent or the Company and Executive prior to the termination of Executive’s employment, any termination of Executive’s employment with the Company shall constitute (ai) an automatic resignation of Executive as an officer of the Company or Parent Company and each other member Affiliate of the Company Group (as applicable) or Parent Company and (bii) an automatic resignation of Executive from the Management Board, from the board of directors or similar governing body of any member Affiliate of the Company Groupor Parent Company, and from the board of directors or similar governing body of any corporation, limited liability entity or other entity in which any member of the Company Group or Parent Company or any Affiliate holds an equity interest and with respect to which board or similar governing body Executive serves as any member of the Company GroupCompany’s or Parent Company’s or such Affiliate’s designee or other representative.

In addition, upon the termination of Executive’s employment if requested by the Board, Executive shall resign from the Board.

Unless otherwise agreed to in writing by Parent or the Company and Executive prior to the termination of Executive’s employment, any termination of Executive’s employment shall constitute (a) an automatic resignation of Executive Executive, as applicable: (a) as an officer of the Company and each other member of the Company Group (as applicable) and Affiliate; (b) an automatic resignation of Executive from the Board; (c) from the board of directors or similar governing body of any member of the Company Group, Affiliate; and (d) from the board of directors or similar governing body of any corporation, limited liability entity or other entity in which any member of the Company Group or any Affiliate holds an equity interest and with respect to which board or similar governing body Executive serves as any member of the Company GroupCompany’s or such Affiliate’s designee or other representative.
