Default by the Issuer; Remedies of the Company. In the event the Issuer fails to close the sale of the Project pursuant to the terms and provisions of this Agreement, the Company shall be entitled as its exclusive remedies to xxx for specific performance or to seek other available equitable remedies, it being understood that the Company shall not have an adequate remedy at law.
