Default by Vendors Clause Samples
Default by Vendors. Without prejudice to clause 8, if any of the provisions of clauses 4 or 5 are not fully complied with on Completion, the Purchaser may (in addition to and without prejudice to all other rights or remedies available to the Purchaser under this Agreement or otherwise) at the Purchaser's option:

Default by Vendors. If the Vendors default in the performance of any of their obligations under this agreement prior to or on the Closing Date, the Purchaser may (in addition to and without prejudice to any other rights or remedies available to it):
Default by Vendors. If the Vendors or any of them do not Complete, other than as a result of default by the Purchaser, the Purchaser may give the Vendors notice requiring them to Complete within 7 days of receipt of the notice. If the Vendors do not Complete within that period, the Purchaser may elect to proceed for specific performance or terminate this agreement. In either case the Purchaser may seek damages for the default If this agreement is so terminated then clause 4.3 will apply with the necessary changes. This termination does not affect any other rights the Purchaser has against the Vendors at law or in equity.
