Default Under Agreements With Agent. The Borrower, or any of its Subsidiaries, shall default under any contract, agreement or arrangement between the Borrower, or such Subsidiary, and the Agent or any Affiliate of the Agent, or the Borrower or such Subsidiary shall terminate, for any reason whatsoever (other than the failure of any such Mortgage Loan to be funded to the obligor thereunder), any commitment of the Agent or any Affiliate of the Agent to purchase Mortgage Loans originated or owned by the Borrower or such Subsidiary; or
