Defaults; Prepayments; Material Adverse Effects. Borrower shall give notice to the Agent (i) within ten (10) Business Days of Borrower or any Guarantor becoming aware of (A) any monetary default or delinquency related to any Unencumbered Pool Asset or Intercompany Loan (including any Tenant or borrower or maker with respect thereto), or (B) the occurrence of any Prepayment, and (ii) within ten (10) Business Days of Borrower becoming aware of any Material Adverse Effect or any event or change in circumstances which should reasonably be expected to have a Material Adverse Effect.
