Defeasance and Assignability Sample Clauses

Defeasance and Assignability. Upon payment in full of all of the Obligations, this Agreement shall terminate and be of no further force or effect. Until such time, however, this Agreement shall remain in full force and effect as security for all of the Obligations and shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. The satisfaction, or discharge, of any part of the Obligations hereby secured shall not in any way satisfy or discharge this Agreement. This Agreement shall be binding upon and shall inure to the benefit of Assignor and the legal representatives, heirs, successors and assigns of Assignor, and Assignee and its successors and assigns. Notwithstanding the foregoing, Assignor shall not assign any rights or delegate any of his duties under this Agreement, without the prior written consent of Assignee (and otherwise in accordance with the provisions of the Loan Agreement).
