Common use of Defeasance and Discharge of Obligations Clause in Contracts

Defeasance and Discharge of Obligations. With respect to a redemption of all of the Offered Securities pursuant to Section 1.3 hereof, notwithstanding the provisions of Section 11.03(c) of the Base Indenture, for purposes of determining whether the Company has satisfied the condition set forth in clause (i) of such Section 11.03(c), the amount of funds or Governmental Obligations that the Company must irrevocably deposit or cause to be deposited in trust with the Trustee shall be determined using an assumed Redemption Price calculated as of the date of deposit of such funds or Governmental Obligations in trust (and not, for the avoidance of doubt, the Redemption Date); provided that:
