Common use of Defense by Lessor Clause in Contracts

Defense by Lessor. In case any action or proceeding is brought against Lessee by reason of any such claim set forth in this section, Lessor, upon written notice from Lessee by reason of any such claim, Lessor will, at Lessor’s expense, resist or defend such action or proceeding by counsel selected by Lessor and reasonably satisfactory to Lessee, provided, Lessor may not consent to a judgment being entered against Lessee without the express written permission of Lessee. Lessor’s duty and responsibility pursuant to this section shall survive the expiration of the Term.
