Common use of Deferment of Repayment Clause in Contracts

Deferment of Repayment. Despite clause 8.1, if a Sales Contract is rescinded or terminated and the Unit the subject of the rescission or termination continues to be an Allocated Unit, then the Agent may in its discretion suspend the obligation of the Direct Standard Partner to repay the Direct Standard Partner Commission pending the introduction of another purchaser in respect of that Unit, in which case the payment of the Direct Standard Partner Commission in respect of the second Sales Contract will be set off against the Direct Standard Partner’s obligation to repay the Direct Standard Partner Commission pursuant to clause 8.1.
