Common use of Deferral of Registration Clause in Contracts

Deferral of Registration. Notwithstanding any other provision of this Section 2, the Company shall not be obligated to effect the filing of a Registration Statement pursuant to Section 2.2(a) hereof (i) during any period when there exists an effective Registration Statement covering any New Registrable Securities, or (ii) for a period not to exceed 90 days, if the Company shall furnish to the Holders requesting a Registration Statement under Section 2(a) hereof a certificate, signed by the Company, stating that in the good faith judgment of the Board of Directors of the Company it would be detrimental to the best interests of the Company and its stockholders generally for such Registration Statement to be filed at that time; provided that in such event, the Holders initiating the request for registration will be entitled to withdraw such request.

Notwithstanding any other provision of this Section 2, the Company shall not be obligated to effect the filing of a Registration Statement pursuant to Section 2.2(a2(a) hereof (i) during any period when there exists an effective Registration Statement covering any New the Registrable Securities, or (ii) for a period not to exceed 90 120 days, if the Company shall furnish to the Holders requesting a Registration Statement under Section 2(a) hereof a certificate, signed by the Company, stating that in the good faith judgment of the Board of Directors of the Company it would be detrimental to the best interests of the Company and its stockholders generally for such Registration Statement to be filed at that timetime and the reasons therefore; provided that in such event, the Holders initiating the request for registration will be entitled to withdraw such requestrequest and such request will not be deemed as having been made by the Holders for purposes of Section 2.1(a) of this Agreement.
