Common use of Deferred Gross-Up Payment Clause in Contracts

Deferred Gross-Up Payment. Notwithstanding the provisions of ------------------------- paragraph 7.2, if any Payment to which an Excise Tax relates shall not be payable or distributable before the date the initial Gross-Up Payment is due pursuant to paragraph 7.2, then the Gross-Up Payment attributable to such Payment shall be paid to Executive within five business days of the date of such Payment.
