Definition of Company for Purposes of Covenants. For purposes of the covenants provided in this Section 7, and not withstanding any other provision of this Agreement to the contrary, "Company" shall be defined to mean Sunterra Corporation, and each of its subsidiaries and affiliates, including Poipu Resort Partners, L.P., a Hawaii limited partnership, and West Maui Resort Partners, L.P., a Delaware limited partnership.
