Definition of Confidential Information and Exclusions. If any party has any doubts about what constitutes Confidential Information then such party agrees to consult with the other party before acting in any manner that may breach its obligations under this agreement Confidential Information shall not include any information, however designated, that 12.1.1 is or subsequently becomes publicly available without Receiving Party's breach of any obligation owed to Disclosing Party 12.1.2 became known to Receiving Party prior to Disclosing Party’s disclosure of such information to Receiving Party pursuant to or prior to or in contemplation of this agreement 12.1.3 became known to Receiving Party from a source other than Disclosing Party other than by the breach of an obligation of confidentiality owed to Disclosing Party 12.1.4 is independently developed by Receiving Party without use of Disclosing Party’s Confidential Information or 12.1.5 constitutes Suggestions (as defined in clause 12.4 of this agreement)
