DEFINITION OF "FOR GOOD REASON. For purposes of Section 6.1, the phrase “for good reason” means any of the following: (a) The Employer’s material breach Section 2.4, 3.1 or 3.2 or of this Agreement; or (b) the assignment of the Employee without the Employee’s consent to a position, responsibilities, or duties of a materially lesser status or degree of responsibility than the Employee’s position, responsibilities, or duties at the Effective Date; or (c) the Employer requiring the Employee to be based at any office or location more than fifty (50) miles from the Employee’s current principal business location.
