Definition of Owner Participant. For purposes of this Section 12.2, the term "Owner Participant" and the term Tax Indemnitee as applied to the Owner Participant shall include any member of an affiliated group, within the meaning of Section 1504 of the Code (or any successor provision thereof), of which the Owner Participant is, or may become, a member, if consolidated, joint or combined returns are filed for such affiliated group for federal, state or local income tax purposes. The Owner Participant undertakes on behalf of such other members of its affiliated group to perform or cause to be performed all obligations of such affiliated group hereunder.
