Definition of Performance Calculation Date. For purposes of this Exhibit B, the term “Performance Calculation Date” means, with respect to the determination of the number of Preliminary Vesting Eligible Units as a result of the attainment of the Muve Music Revenue and Muve Music Subscriber achievement levels for Fiscal Year [X] or the determination of the Final Multiplier as a result of the attainment of the Muve Music Subscribers Churn Rate achievement level for Fiscal Year [Y], as applicable, the date on which the Company files its Annual Report on Form 10-K for the relevant Fiscal Year.
