Common use of Definition of Seller’s Knowledge Clause in Contracts

Definition of Seller’s Knowledge. With respect to Seller’s Representations, the term Seller’s Knowledge shall mean and refer to the Knowledge of Xxxxx Xxxx. Seller represents and warrants to Buyer that such person is in a position on behalf of Seller to have such information and/or the responsibility on behalf of Seller for the matters and information which are the subject of Seller’s Representations. Nothing contained in this Section 6.13 shall impose any personal liability on any of the foregoing individuals.

Each Seller represents and warrants to Buyer as to itself that the persons identified as to such person is Seller in a the Seller/Property Information Schedule are in an official position on behalf of such Seller to have such the information and/or the responsibility on behalf of Seller for the matters and information which are that is the subject of such Seller’s Representations. Nothing contained in this Section 6.13 shall impose any personal liability on any of the foregoing individuals.
