Definition of Title Defects. (a) Any unobtained consent to assignment, lien, charge, obligation, encumbrance, defect or irregularity of title or any other circumstance or condition that causes Sellers' title to the Assets in any of the realty of major facilities that are part of the Assets to be less than Defensible Title (as hereinafter defined) and for which notice is given by Buyer to Sellers pursuant to Section 9.1, shall be a title defect (a "Title Defect").
