DEFINITIONS; CERTAIN MATTERS OF CONSTRUCTION. Whenever used herein, the following words and phrases shall have the following meanings:
DEFINITIONS; CERTAIN MATTERS OF CONSTRUCTION. Each capitalized term used in this Agreement, unless otherwise defined herein, shall have the meaning ascribed to such term in the Credit Agreement. The terms “herein,” “hereof” and “hereunder” and other words of similar import refer to this Agreement as a whole and not to any particular section, paragraph or subdivision. All references to any Person shall mean and include the successors and permitted assigns of such Person. All references to any of the Credit Documents shall include any and all amendments or modifications thereto and any and all restatements, extensions or renewals thereof. Wherever the phrase “including” shall appear in this Agreement, such word shall be understood to mean “including, without limitation.”

For the purpose of this Guarantee, (a) unless otherwise set forth herein, capitalized terms or matters of construction deemed or established in any of the Long Term Notes are applied herein as defined or established therein and (b) the following terms have the respective meanings set forth below:

(a) Reference to a particular Section of this Agreement will include all its subsections.
(b) Definitions will apply to both the singular and plural forms of the terms defined, and references to the masculine, feminine or neuter gender will include each other gender.
(c) Accounting terms used in this Agreement and not otherwise defined in this Agreement are used in this Agreement as defined by GAAP in effect as of the date of this Agreement, applied on a basis consistent with past practice.
(d) All references in this Agreement to any Exhibit or Schedule will, unless the context otherwise requires, be deemed to be a reference to an Exhibit or Schedule, as the case may be, to this Agreement, all of which are made a part of this Agreement.
(e) Whenever the words "include," "includes" or "including" are used in this Agreement, they shall be deemed to be followed by the words "without limitation." Unless otherwise specifically provided for herein, the term "or" shall not be deemed to be exclusive.
(f) All references to days or months shall be deemed references to calendar days or months.
(g) The words "hereof," "herein" and "hereunder" and words of similar import referring to this Agreement refer to this Agreement as a whole and not to any particular provision of this Agreement.
