Common use of Definitive Documents Clause in Contracts

Definitive Documents. The Definitive Documents remain subject to negotiation and completion. Each of the Definitive Documents shall (i) contain terms and conditions consistent in all material respects with this Agreement, including, for the avoidance of doubt, the Transaction Term Sheet, as amended, restated, amended and restated, supplemented or otherwise modified from time to time in accordance with Section 11 herein, and (ii) to the extent any matter is not addressed in the Transaction Term Sheet, that matter shall be addressed in form and substance reasonably acceptable to the Company and CRB.

Each of the Definitive Documents shall (i) shall, upon effectiveness, contain terms terms, conditions, representations, warranties, and conditions covenants consistent in all material respects with the terms of this Agreement, including, for including the avoidance of doubt, the Transaction Term Sheet, as this Agreement (including the Term Sheet) may be modified, amended, restated, amended and restated, or supplemented or otherwise modified from time pursuant to time in accordance with Section 11 herein, and (ii) to the extent any matter is not addressed in the Transaction Term Sheet, that matter shall be addressed in form and substance reasonably acceptable to the Company and CRB12.
