Common use of Delaware Trustee’s Fees and Expenses Clause in Contracts

Delaware Trustee’s Fees and Expenses. Pursuant to Section 5.01(a) hereof, (i) the Delaware Trustee shall receive from the Trust as compensation (which shall not be limited by any provision of law in regard to the compensation of a trustee of an express trust) for its services hereunder such fees as may heretofore and from time to time hereafter be agreed upon in a separate fee agreement between the Depositor and the Delaware Trustee and (ii) the Delaware Trustee shall be entitled to be reimbursed by the Trust pursuant to Section 5.01(a) hereof for its other reasonable expenses hereunder, to the extent provided in such separate agreement and including, without limitation, the reasonable compensation, expenses and disbursements of such agents, representatives, accountants, experts and counsel as the Delaware Trustee may employ in connection with the exercise and performance of its rights and duties under this Trust Agreement, the Basic Documents or any other agreement contemplated by any of the foregoing, whether or not the transactions contemplated hereby and thereby are consummated.
