Delay in Effectiveness of Registration Statement. In the event that the Registration Statement is not declared effective by January 20, 2001, the Company shall pay to each Purchaser liquidated damages in an amount equal to 0.25% of the total purchase price of the Shares purchased by such Purchaser pursuant to this Agreement for each week after January 20, 2001 that the Registration Statement is not declared effective.
