Common use of Delay of Registration; Furnishing Information Clause in Contracts

Delay of Registration; Furnishing Information. (a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

Delay of Registration; Furnishing Information. (a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section Sections 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration of Registrable Securities as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2Article 3. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2Sections 3.2, 2.3 3.3 or 2.4 3.4 with respect to a selling Holder that the such selling Holders Holder shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition distribution of such securities as shall be required to effect by Section 3.12 or as otherwise reasonably requested by the registration of their Registrable SecuritiesCompany.

(b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 Sections 6.2 or 2.4 6.3 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 2.2 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(bB) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.22.1, 2.2 or 2.3 or 2.4 that the selling Holders requesting registration shall furnish to the Company such information regarding themselvessuch Holders, the Registrable Securities held by them such Holders and the intended method of disposition of such securities as shall be required to effect the registration of their such Holders’ Registrable Securities.

(a) 3.7.1 No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 23. (b) 3.7.2 It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.23.1, 2.3 3.2 or 2.4 3.3 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2Sections 3.1, 2.3 3.2 or 2.4 3.3 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder Stockholder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company Parent to take any action pursuant to Section 2.2, 2.3 or 2.4 2.2 that the selling Holders Stockholders shall furnish to the Company Parent such information regarding themselves, the Registrable Securities Registerable Shares held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable SecuritiesRegisterable Shares.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section Article 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder Stockholders shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2Agreement. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2 or 2.4 3 that the selling Holders each Stockholder shall furnish to the Company such information regarding themselvesitself, the Registrable Securities held by them it and the intended method of disposition of such securities as shall be required to effect the registration of their its Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 2.1 above that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2.1 or 2.4 2.2 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder None of the Stockholders shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company Parent to take any action pursuant to Section 2.2, 2.3 or 2.4 2.1 that the selling Holders Stockholders shall furnish to the Company Parent such information regarding themselves, the Registrable Securities Shares held by them and the intended method of disposition of such securities as shall be reasonably required to effect the registration of their Registrable SecuritiesShares.

Delay of Registration; Furnishing Information. (a) No Holder 1)...... The Holders shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2(a) or 2.4 2(b) that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them them, including the actual issuance of such Registrable Securities and the intended method of disposition of such securities as shall be required to effect the registration of their the Registrable Securities.

(a) 2.7.1 No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2Article II. (b) 2.7.2 It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.2 or 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder Investor shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 2.2 that the selling Holders Investors shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section Sections 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and and 11. the intended method of disposition of such securities as shall be reasonably required to effect the registration of their Registrable Securities.

(b) It shall be a condition precedent to the obligations of the Company Parent to take any action pursuant to Section 2.2, 2.3 or 2.4 2.1 that the selling Holders Stockholders shall furnish to the Company Parent such information regarding themselves, the Registrable Securities Registerable Shares held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable SecuritiesRegisterable Shares.

(a) No Holder The Investor shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2.1 or 2.4 2.2 that the selling Holders Investor shall furnish to the Company such information regarding themselvesitself, the Registrable Securities held by them it and the intended method of disposition of such securities as shall be required to effect the registration of their its Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2.3, 2.4, 2.5 or 2.4 2.6 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) 2.7.1 No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) 2.7.2 It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2Sections 2.1, 2.2 or 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) Article 4. It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 Sections 4.1 or 2.4 4.2 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities Shares held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable SecuritiesShares.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section Sections 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.and

Delay of Registration; Furnishing Information. (a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration of Registrable Securities as the result of any controversy that might arise with respect to the interpretation or implementation of this Section Article 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, Sections 2.3 or 2.4 with respect to a selling Holder that the such selling Holders Holder shall furnish to the Company such customary information regarding themselves, the Registrable Securities held by them and the intended method of disposition distribution of such securities as shall be required to effect by Section 2.10 or as otherwise reasonably requested by the registration of their Registrable SecuritiesCompany.

Delay of Registration; Furnishing Information. (a) No Holder holder of Registrable Securities shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 24.1. (b) It No holder of Registrable Securities shall be a condition precedent to use any free writing prospectus (as defined in Rule 405 under the obligations Securities Act) in connection with the sale of Registrable Securities without the prior written consent of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable SecuritiesCompany.

Delay of Registration; Furnishing Information. (a) No Holder Stockholder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company Parent to take any action pursuant to Section 2.2, 2.3 or 2.4 Sections 2.1 and 2.2 that the selling Holders Stockholders shall furnish to the Company Parent such information regarding themselves, the Registrable Securities Shares held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable SecuritiesShares.

Delay of Registration; Furnishing Information. (a) No Holder 2.6.1 Prudential shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2Article 0. (b) 2.6.2 It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 0 that the selling Holders Prudential shall furnish to the Company such information regarding themselvesitself, the Registrable Securities held by them it holds, and the intended method of disposition of such securities as shall be required to effect the registration of their the Registrable Securities.

Delay of Registration; Furnishing Information. (a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2Sections 2.1, 2.2 or 2.3 or 2.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the obligations of the Company Parent to take any action pursuant to Section 2.2, 2.3 or 2.4 2.2 that the all selling Holders shall furnish to the Company Parent such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities Registrable Securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder The Shareholder shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) It shall be a condition precedent to the Company’s obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 this Agreement that the selling Holders Shareholder shall furnish to the Company such information regarding themselvesit, the Registrable Securities Shares held by them it and the intended method of disposition of such securities as shall be reasonably required to effect the registration of their Registrable Securitiesits Shares and shall execute such documents in connection with such registration as the Company may reasonably request.

(a) No Holder The Stockholder shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2Agreement. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2 or 2.4 3 that the selling Holders Stockholder shall furnish to the Company such information regarding themselvesitself, the Registrable Securities held by them it and the intended method of disposition of such securities as shall be required to effect the registration of their its Registrable Securities.

(a) No Holder shall will have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 23. (b) It shall will be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 3.1 that the selling Holders shall will furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall will be required to effect the registration of their Registrable Securities.

(b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 7.2 or 2.4 7.3 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

Delay of Registration; Furnishing Information. (a) No Holder 2.6.1 The Investor shall not have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) 2.6.2 It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 2.1 or 2.4 2.2 that the selling Holders Investor shall furnish to the Company such information regarding themselveshimself, the Registrable Securities held by them him and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

Delay of Registration; Furnishing Information. (a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration or offering of Registrable Securities as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2Article 3. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2Sections 3.1, 2.3 3.2 or 2.4 3.3 with respect to a selling Holder that the such selling Holders Holder shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition distribution of such securities as shall be required to effect by Section 3.11 or as otherwise reasonably requested by the registration of their Registrable SecuritiesCompany.

(b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 6.2 that the selling Holders Purchasers shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) 2.5.1 No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (b) 2.5.2 It shall be a condition precedent to the obligations of the Company Parent to take any action pursuant to Section 2.2, 2.3 2.1 or 2.4 2.2 hereof that the selling Holders shall furnish to the Company Parent such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 23. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.23.2, 2.3 3.3 or 2.4 3.4 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

Delay of Registration; Furnishing Information. (a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 23. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.23.1, 2.3 Section 3.2, Section 3.3, Section 3.4 or 2.4 Section 3.5 that the selling Holders shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securities.

(a) No Holder shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 2. (c) The Company shall have no obligation with respect to any registration requested pursuant to Section 2.2 if, due to the operation of subsection 2.2(b), the number of

The Company may exclude from such registration the Registrable Securities of any Holder that fails to furnish such information.

Delay of Registration; Furnishing Information. (a) No Holder Investor shall have any right to obtain or seek an injunction restraining or otherwise delaying any such registration as the result of any controversy that might arise with respect to the interpretation or implementation of this Section 26. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 2.2, 2.3 or 2.4 6.2 that the selling Holders Investor shall furnish to the Company such information regarding themselvesitself, the Registrable Securities held by them Shares and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable Securitiesthe Shares.

(b) It shall be a condition precedent to the obligations of the Company Corporation to take any action pursuant to Section 2.2, 2.3 or 2.4 2.1 that the selling Holders Stockholders shall furnish to the Company Corporation such information regarding themselves, the Registrable Securities Shares held by them and the intended method of disposition of such securities as shall be required to effect the registration of their Registrable SecuritiesShares.
