DELAY OUTSIDE THE COMMITTEE’S CONTROL. The Committee shall not be liable in any way to Grantee or any third party for the Committee’s failure to perform or delay in performing under the Grant Documents (and the Committee may suspend or terminate all or any portion of the Committee’s obligations under the Grant Documents), and Grantee shall not be in default hereunder if Grantee fails to timely perform its obligations hereunder, if such failure to perform or delay in performing results directly or indirectly from, or is based upon, the action, inaction, or purported action, of any governmental or local authority, or because of war, rebellion, insurrection, strike, lock-out, boycott or blockade (whether presently in effect, announced or in the sole judgment of the Committee deemed probable), or from any Act of God or other cause or event beyond the Committee control.
