Delayed Transfers; Wrong Pockets Clause Samples
The "Delayed Transfers; Wrong Pockets" clause addresses situations where assets, rights, or funds are not properly transferred at the time of closing or are mistakenly allocated to the wrong party. In practice, this clause obligates the parties to correct such errors by ensuring that any assets or payments that were delayed or misdirected are promptly transferred to the rightful owner once the mistake is discovered. This mechanism is essential for maintaining the intended allocation of assets and preventing disputes, as it provides a clear process for rectifying administrative oversights or errors in the transfer process.
