Delegation and Acceptance of Authority. The Companies hereby delegate to the Agent and the Agent hereby accepts responsibility and authority for the duties listed in Section 4.1 and elsewhere in this Agreement. Except as herein expressly established otherwise, the Agent shall perform each of those duties in consultation with the Operating Committee. The Agent shall also perform each of those duties in accordance with the standards of conduct described in 18 C.F.R. § 37.4.
