Common use of Delegation and Assumption of Released Originator’s Obligations Clause in Contracts

Delegation and Assumption of Released Originator’s Obligations. Effective immediately prior to the removal of the Released Originator as party to the Agreement pursuant to Section 3 above, the Released Originator hereby delegates to each of the Remaining Originators, and each of the Remaining Originators, jointly and severally, hereby assumes, all of the Released Originator’s duties, obligations and liabilities that have arisen or accrued prior to the date hereof under the Agreement and each of the other Transaction Documents.

Delegation and Assumption of Released Originator’s Obligations. Effective immediately prior to the removal of the Released Originator Originators as party parties to the Agreement pursuant to Section 3 above, the Released Originator Originators hereby delegates delegate to each of the Remaining Originators and the Additional Originators, and each of the Additional Originators and the Remaining Originators, jointly and severally, hereby assumes, all of the Released Originator’s Originators’ duties, obligations and liabilities that have arisen or accrued prior to the date hereof under the Agreement and each of the other Transaction Documents.

Effective immediately prior to the removal of the Released Originator Originators as party parties to the Agreement pursuant to Section 3 above, each of the Released Originator Originators hereby delegates to each of the Remaining Originatorsrelated New Originator, and each of the Remaining Originators, jointly and severally, New Originators hereby assumesassume, all of the related Released Originator’s Originators’ duties, obligations and liabilities that have arisen or accrued prior to (including the date hereof indemnity obligations under Section 6.1 of the Agreement) under the Agreement and each of the other Transaction Documents.

Effective immediately prior to the removal of the Released Originator as party to the Purchase and Sale Agreement pursuant to Section 3 above, the Released Originator hereby delegates to each of the Remaining Originators, and each of the Remaining Originators, jointly and severally, hereby assumes, all of the Released Originator’s duties, obligations obligations, indemnities and liabilities that have arisen or accrued prior to the date hereof under the Purchase and Sale Agreement and each of the other Transaction Documents.

Effective immediately prior to the removal of the Released Originator as a party to the Sale Agreement pursuant to Section 3 2 above, the Released Originator hereby delegates to each of the Remaining OriginatorsContinuing Originator, and each of the Remaining Originators, jointly and severally, Continuing Originator hereby assumes, all of the Released Originator’s duties, obligations and liabilities that have arisen or accrued prior to the date hereof under the Sale Agreement and each of the other Transaction DocumentsDocuments that arose or accrued on or prior to the Effective Date.
