DELEGATION AND/OR ASSIGNMENT Sample Clauses
The Delegation and/or Assignment clause defines whether and how a party to the contract may transfer its rights or obligations to another party. Typically, this clause specifies if prior written consent is required before a party can assign its interests or delegate its duties, and may outline exceptions or conditions under which such transfers are permitted. Its core function is to control and clarify the circumstances under which contractual responsibilities or benefits can be shifted, thereby protecting the parties from unwanted changes in who is responsible for performance or who receives contractual benefits.
DELEGATION AND/OR ASSIGNMENT. The contractor shall not assign the contract in whole or in part or any payment arising there from without the prior written consent of the State Procurement Official. The contractor may delegate facilitation of contract orders to their “Authorized/Certified Dealers” only. This delegation will in no way relieve the contractor of any contractual obligations set forth in this Contract Award.
